. Any corporation with publicly traded stock can make this simple, yet major transformation in its business management practices by creating a an updated and revised version of the traditional non-profit foundation and then partnering its profit-making corporation with its newly-created, independent, non-profit foundation to create a Hybrid Business Structure. It's a more flexible, more efficient, more productive and much less destructive way of doing business. . The first phase of The Peaceful Revolution requires a major redesigning of the American financial system. Why? For several major reasons: 1) Because the present financial system is grossly unfair. It's filled with serious conflicts of interest. 2) Because it's fatally flawed. It's NOT sustainable as it is presently structured! 3) Because the core problem is debt and the debt problem cannot be solved by more deficit financing! 4) Because, as most economists agree, in order to resolve this financial crisis, we must resolve the home-foreclosure problem and we must re-empower the engine of the economy -- the working class. The present system is doing almost nothing to accomplish either of these two tasks. 5) Because without a sound economy, we will not have the capacity to reverse global warming before it becomes unstoppable and before it produces major disaster and destruction. (This proposal includes a detailed explanation of why we have only about five years within which to begin major changes in the way we treat the environment.) **en1 6) Because the financial system is one of the fundamental underpinnings which supports the functioning of everything else. 7) Because it's the interactive highway that connects everything to everything else. 8) Because it's a fundamental tool of social creation. With every exchange between two people each is better off because each receives something he or she finds more valuable than that which he or she gave. Resolving our present-day financial crisis requires implementing one of the following three options: a major restructuring of the management aspect of the financial institutions, the nationalizing of the financial industry, or the simple shift by banks and the other financial institutions into the Hybrid Business Structure described on this web page. The federal government could have done several things to reverse the inequities of the financial institutions. Unfortunately, bickering, infighting, greed, ignorance, and self-interest have been getting in the way and continue to get in the way. Fortunately, there is a simple but profound way to bypass bureaucracy and make significant and easy-to-implement changes in the corporate world -- changes that can be implemented without government participation or approval -- changes that can and undoubtedly will have a powerful and positive impact on the economy. This can be accomplished by joining two existing financial structures -- by joining a profit-making corporation with a non-profit foundation -- to create a new, more flexible, more efficient, more productive and much less destructive business structure. . Why Blend Foundations with the Corporate World's Business Structure? --- Because there are major and very significant differences between corporations and foundations. Each provides benefits that the other cannot provide. Each has tools that the other doesn't have. For example, corporations are designed to create wealth; foundations are designed to manage and distribute wealth. Their differences can be blended together in a manner that creates a Hybrid Business Structure -- a business structure that will maximize the best characteristics of each and minimize the highly destructive aspect of most, large, present-day corporations. That destructive aspect is: "profits first -- profits at the expense of everything and everyone else." Partnering corporations and foundations creates a natural blend of energies that simply have not yet been brought together to express the full potential of either. As they stand today, they are like masculine without the feminine, or thought without feeling, or knowledge without experience. Joining the corporate structure of creativity and intake with the foundation structure of financial management and distribution is like the marriage of two royal families, like joining song and dance. Each brings in something that the other does not have. A Foundation has no profit takers! It usually has no money lenders, and most foundations pay no taxes. This is in sharp contrast to the major corporations including the financial institutions. Corporations, as they are presently managed, have a very destructive, ethics-stealing conflict of interest between profits and service. Foundations do not. Foundations service their named beneficiaries, while the major corporations, as they are presently being run, service the top echelons of management and the money lenders at the expense of everything and everyone else. Corporations also pay taxes. Fraud and Mismanagement: Another very important benefit of the Corporate/Foundation partnership is that corporate fraud and mismanagement would be caught and stopped long before it reached a crisis level. If this partnership system had been put into place ten years ago by the financial industry, there would be no need for a $700 billion bailout. Government Contracts: If local, state, and federal governments were to contract only with corporations that use this blended, win-win business structure, (the Hybrid Business Structure) that would revolutionize the entire corporate world and would definitely put a harness on the military-industrial complex. . |

It's All About the Money |

. . The core issue is what happens to corporate profits. Under the present corporate management structure, profits are used primarily to service a corporation's debt. It doesn't take much looking to see that the major corporations have been turned into "cash cows" by and for the super-wealthy. Presently, corporations borrow money and never pay off their debts. If you, as an individual, did that, you'd either stuck hopelessly in debt or desperately in need of serious financial counseling. Imagine living your life for the soul purpose of making money for someone else. That's exactly what the major corporations are doing right now! Of course, corporations are designed to produce a particular set of products and/or services, but doing so has become secondary to making money for stockholders. When a corporation pays off its debts, it becomes a group of people working collectively for themselves. They are no longer controlled the money lenders. They can "kiss Wall Street goodbye." Under the new Hybrid Business Structure, the people in that corporation are then able to work as a team for the foundation's five beneficiaries -- the corporations employees, its management, its customers, the environment, and its remaining stockholders. When it's necessary for a corporation to borrow money, it does so and, if sensible, pays it back as quickly as possible. However, as they are presently being run, the major corporations never pay off their debts. As a result, producing short-term profits at the expense of everything and everyone else has become the norm. It has become their reason for being. Sound financial and business practices -- employee health, safety and financial well-being -- and the environment -- have all taken a back seat to showing a profit in the next quarterly report. The Named Beneficiaries: A foundation can be set up for any specified purpose, such as to service a corporation's employees, its management personnel, its customers, the environment, and the corporation's remaining stockholders. . |

. . With relative ease and simplicity, a foundation can replace stockholders in any corporation that has publicly-traded stock. Corporate debt can be drastically reduced and, in many cases, even eliminated completely by a simple shift in the corporate management structure. Instead of a corporation functioning independently, any corporation can set up its own independent, non-profit foundation and together, as a team, the foundation and the corporation manage the corporation. Here's how it's done: 1) As a member of a corporate management team, examine this concept and decide that it's in your own and everybody else's best interest to be a part of The New Corporate World. Ask your board of directors if they care about the lives of their children and grandchildren. Then ask them if they'd like to:
a) Take back control of the company from the
money interests, 2) When they say, "Yes,” have your corporation, by free will choice, set up its own, independently controlled, non-profit foundation. We offer a set of rules and guidelines for setting up the foundations. The foundation's bylaw will provide clear rules and guidelines on where and how the the foundation's money shall be used. Safety precautions will be included to prevent misuse or misdirection of funds. 3) Each month, have your company donate a small percentage of its profits to this foundation, such as a portion of the money it normally donates to charity. 4) The foundation uses this money to buy stock in its partner corporation. 5) The foundation uses the dividends from owning the stock to buy more stock in its partner corporation. There are also additional ways to fund the foundations and ways to speed up the process of the foundation acquiring a controlling financial interest in the corporation. 6) When the foundation has acquired a controlling interest in the corporation, the corporation and the foundation, functioning as a team, redefine the corporation's reason for being. .
